B1.01 In accordance with Subsection 11.01(a), of the Constitution of Christ the King Evangelical Lutheran Church of Houston, the duties of the officers of the congregation are:
B1.02 President. The President shall supervise all of the business and affairs of the Congregation. The President shall preside at all meetings of the Congregation and of the Church Council. The President may execute any deeds, mortgages, bonds, contracts, or other instruments that the Church Council has authorized to be executed. However, the President may not execute instruments on behalf of the Congregation if this power is expressly delegated to another officer or agent of the Congregation by the Church Council, the Bylaws, or statute. The President shall perform other duties prescribed by the Church Council and all duties incident to the office of President.
B1.03 Vice President. When the President is absent, is unable to act, or refuses to act, the Vice President shall perform the duties of the President. When the Vice President acts in place of the President, the Vice President shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform other duties as assigned by the President or Church Council.
B1.04 Treasurer. The Treasurer shall:
a. Have charge and custody of and be responsible for all funds and securities
of the Congregation.
b. Write checks and disburse funds to discharge obligations of the Congregation.
The Church Council shall designate additional persons authorized to sign checks
on behalf of the Congregation and determine the amount of checks above which
a second signature is required.
c. Maintain the financial books and records of the Congregation.
d. Prepare financial reports at least annually.
e. Perform other duties as assigned by the President or by the Church Council.
f. If required by the Church Council, give a bond for the faithful discharge
of his or her duties in a sum and with a surety as determined by the Church
Council.
g. Perform all duties incident to the office of Treasurer.
B1.05 Financial Secretary. The Financial Secretary shall:
a. Receive and count all offering collections and report such sums to the Treasurer
or as otherwise advised by the President.
b. Deposit all moneys in the name of the Congregation in banks, trust companies,
or other depositaries as provided in the Bylaws or as directed by the Church
Council or President.
c. Prepare financial reports at least annually.
d. Perform other duties as assigned by the President or by the Church Council.
e. If required by the Church Council, give a bond for the faithful discharge
of his or her duties in a sum and with a surety as determined by the Church
Council.
f. Perform all duties incident to the office of Financial Secretary.
B1.06 Secretary. The Secretary shall:
a. Give all notices as provided in the Bylaws or as required by law.
b. Take minutes of the meetings of the Congregation and of the Church Council
and keep the minutes as part of the corporate records.
c. Maintain custody of the corporate records of the Congregation.
d. Keep a register of the mailing address of each Member, director, officer,
and employee of the Congregation.
e. Perform duties as assigned by the President or by the Church Council.
f. Perform all duties incident to the office of Secretary.
B2.01 Commissions. In accordance with Section 13.04 of the Constitution of Christ
the King Evangelical Lutheran Church of Houston, the following commissions shall
be authorized to oversee the respective functions of the congregation and to
recommend actions to the Church Council as deemed necessary:
a. Worship and Music Commission, which shall have special responsibility for
fulfilling the function set forth in C4.03(a) of the Constitution. This commission
shall have such members as determined by the Church Council and shall work in
consultation with a pastor of the Congregation.
b. Education and Enrichment Commission, which shall have special responsibility
for fulfilling the function set forth in C4.03(c) and (d) of the Constitution.
This commission shall have such members as determined by the Church Council
and shall work in consultation with a pastor of the Congregation.
c. Witness and Assimilation Commission, which shall have special responsibility
for fulfilling the function set forth in C4.03(e) of the Constitution. This
commission shall have such members as determined by the Church Council and shall
work in consultation with a pastor of the Congregation.
d. Service and Care Commission, which shall have special responsibility for
fulfilling the function set forth in C4.03(f) of the Constitution. This commission
shall have such members as determined by the Church Council and shall work in
consultation with a pastor of the Congregation.
e. Stewardship and Finance Commission, which shall have special responsibility
for fulfilling the function set forth in C4.03(g) of the Constitution. This
commission shall have such members as determined by the Church Council and shall
work in consultation with a pastor of the Congregation.
B3.01 In accordance with Section 10.01 of the Constitution, the annual meeting
of the Congregation shall be held in two parts.
a. Part I of the annual meeting shall be held no later than December 15 for
the purpose of electing members of the Church Council and to conduct such other
business as may be recommended by the Church Council.
b. Part II of the annual meeting shall be held no later than February 15 for
the purpose of receiving the annual report of the Congregation, adopting the
annual budget of the Congregation and to conduct such other business as may
be recommended by the Church Council.
c. Under unusual circumstances and for good cause, either Part I or Part II
of the annual meeting may be scheduled at another time by action of the Church
Council. If the meeting is scheduled for another time, notice shall be given
to the Congregation as described in Section 10.03 of the Constitution.
